Membership Agreement
Welcome to the ArtAreas.com Membership Agreement. Contained within this Agreement are the terms and conditions governing the use of paid membership services at the ArtAreas.com and it's subsidiary websites. By purchasing a membership, you indicate your acceptance of the terms and conditions of this Agreement. If, for any reason, you do not accept these terms and conditions or have any questions, please send email to support@artareas.com.
We reserve the right to change and or amend this Agreement at any time by posting the amended terms on our site. The amended or changed terms or conditions shall automatically be effective 30-days after they are initially posted on our site.
The parties agree as follows:
1) Description of Service - In accordance with the terms and conditions of this agreement, WebAreas.com LLC shall provide the "Service" to the
Customer. The Service is described as follows:
2) Membership Services - Package memberships offered include one or more of the following: website hosting, development, domain name purchase, appraisals, advertising, marketing services, or other professional services. Detail of specific packages are provided in the Purchase. The Membership contract term is for one year from the date of Purchase.
2). Domain name purchase: The Customer shall pay a non-recurring, non-refundable setup fee to cover the cost of the purchase of a domain name. The domain name will be the legal property of the Customer.
3) Development Rates - The Customer shall pay the charge of $2500.00 for the above mentioned services. A deposit of 50% will be due on signing this agreement and the balance to be paid upon completion of Website development. Development work to commence immediately upon the signing of this contract, with a completion date on or before February 15th, 2002.
4) Payment - The Customer shall pay the agreed upon Charge either in full in advance of the Service, or Monthly (the yearly Charge listed in the Purchase agreement prorated per month), which shall not be subject to increases during the term of the Purchase agreement. If Customer does not select a new payment plan and does not request discontinuance of Service 30 days prior to expiration of the term. The Purchase contract will automatically renew for an additional term at the then current rates. Hosting services will be charged monthly only on recurring credit card billing.
5) Service and Maintenance Obligation – WebAreas.com represents to the Customer that the Service will operate materially in accordance with the service description set forth herein. If, under normal and proper use, the Service fails to perform as specified above, and the Customer notifies WebAreas.com within the term, WebAreas.com shall correct such service degradations or failures without charge to Customer in accordance with the provisions herein.
The foregoing representation is exclusive and in lieu of all other representations and warranties, express or implied, including but not limited to , the implied warranties of merchantability and fitness for a particular purpose. Customer’s sole and exclusive remedy against WebAreas.com for loss or damage caused by, or arising in connection with, the performance or nonperformance of the service shall be the obligations of WebAreas.com as set forth in this agreement.
6) Termination for Convenience - If the Customer terminates the Service prior to expiration of the term defined herein, Customer shall be liable to WebAreas.com for the difference between the Customer's current Monthly Charge and the Month to Month service charge in effect at the time of termination multiplied by the number of months that the Service was provided, and for any nonrecurring charge waived at setup. Termination charges shall become due in full immediately upon such termination.
7) Limitation of Damages - The liability of WebAreas.com LLC for damages arising out of mistakes, omissions, interruptions, delays, errors or defects in transmission occurring in the course of furnishing the Service, and not caused by the negligence of Customer, shall in no event exceed the amount equivalent to the proportionate charge to the Customer for the period of Service during which such mistake, omission, interruption, delay, error or defect in transmission occurs. No other liability shall in any case attach to WebAreas.com LLC.
8) Taxes and Additional Charges - The customer shall remit to WebAreas.com LLC all applicable federal, state and local taxes and all applicable municipal and state charges which arise under this agreement unless and to the degree Customer furnishes evidence of exemption from any or all such taxes and charges.
9) Entire Agreement - This Agreement is the complete agreement between the parties and supersedes any discussions, representations, or proposals, either written or oral, concerning the Service. This Agreement may not be modified except by a writing signed by both parties.
